These Terms of Use ("Terms") govern your access to and use of the website at new.dentalcooperative.com (the "Site") and the member portal operated by Dental Cooperative, Inc. ("Dental Cooperative," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.
1. Eligibility and Membership
The member portal is available exclusively to active Dental Cooperative members and their authorized representatives. By accessing the member portal, you represent that you are an authorized member or representative of a member dental practice. Membership in the Cooperative is governed by a separate Membership Agreement.
2. Account Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:
- Keep your sign-in credentials confidential and not share them with unauthorized individuals
- Notify us immediately of any unauthorized access to your account
- Ensure that you sign out when accessing the portal from shared devices
We are not liable for any loss or damage arising from your failure to protect your account credentials.
3. Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable laws or regulations
- Access or attempt to access data belonging to other members or practices
- Interfere with or disrupt the operation of the Site or its underlying infrastructure
- Scrape, crawl, or use automated tools to extract data from the Site without written permission
- Upload or transmit viruses, malware, or other harmful code
- Impersonate another person or entity or misrepresent your affiliation with a practice
- Use member pricing, discount information, or vendor terms for any purpose other than your own practice operations
4. Intellectual Property
All content on the Site, including text, graphics, logos, images, software, and the underlying code, is the property of Dental Cooperative, Inc. or its licensors and is protected by United States copyright, trademark, and other intellectual property laws.
"Dental Cooperative" and the CoOp logo are registered trademarks of Dental Cooperative, Inc. You may not use our trademarks without our prior written consent.
You are granted a limited, non-exclusive, non-transferable license to access and use the Site for its intended purpose. This license does not include the right to modify, reproduce, distribute, or create derivative works from the Site content.
5. Member Data and Privacy
Your use of the member portal involves the collection and processing of personal and practice-related data. Our collection, use, and protection of this data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Practice performance data, savings calculations, and program metrics displayed in the member portal are estimates based on available information and may not reflect exact figures. Dental Cooperative does not guarantee the accuracy of calculated savings or projected benefits.
6. Vendor Partner Programs
The Site provides information about and facilitates enrollment in vendor partner programs. Your relationship with each vendor partner is governed by separate terms between you and that vendor. Dental Cooperative acts as a facilitator and is not a party to transactions between you and vendor partners.
Discount rates, program terms, and vendor offerings are subject to change. We make reasonable efforts to keep program information current but do not guarantee that all information on the Site reflects the latest vendor terms.
7. Insurance and Financial Services Information
Information provided through the insurance maximization, practice financing, and HR benefits programs is for informational purposes only and does not constitute professional financial, insurance, legal, or tax advice. You should consult with qualified professionals before making financial or insurance decisions for your practice.
8. Disclaimer of Warranties
THE SITE AND ALL CONTENT, SERVICES, AND FEATURES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR AVAILABILITY. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENTAL COOPERATIVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID TO DENTAL COOPERATIVE IN MEMBERSHIP FEES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless Dental Cooperative, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your violation of these Terms, your use of the Site, or your violation of any rights of a third party.
11. Termination
We may suspend or terminate your access to the Site at any time, with or without cause and with or without notice. Upon termination, your right to use the Site ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including Sections 4, 8, 9, 10, and 13.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Site with a revised "Last updated" date. Your continued use of the Site after any changes constitutes acceptance of the updated Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Salt Lake County, Utah, and you consent to the personal jurisdiction of such courts.
14. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. The unenforceable provision shall be modified to the minimum extent necessary to make it enforceable while preserving its original intent.
